These Terms of Service govern access to and use of agentlayer.cl, forms, demos, pilots, proofs of concept, implementation services, AI agents, integrations, support and any related functionality offered by AgentLayer.
AgentLayer is a product operated by Rapadcin Inc. (dcSpark) or by the entity identified in the applicable proposal, order form or contract. By accessing the site, requesting a demo, starting a pilot or using the services, you accept these terms on your own behalf or on behalf of the organization you represent.
If there is a signed written contract, order form, privacy addendum, service level agreement or DPA, those documents prevail over these terms in case of inconsistency regarding the contracted service.
1. Services
AgentLayer offers information, demos, pilots, implementation and operation of AI agents for enterprise processes, including automation, document analysis, support, ticketing, sales, marketing, finance, competitive intelligence, integrations and related workflows.
The specific features, scope, timelines, integrations, service levels, pricing, support, deliverables and commercial conditions are defined in the applicable proposal, order form, contract or plan.
We may modify, improve, suspend or discontinue components of the site or non-contracted services permanently. For contracted services, the commitments in the corresponding contract apply.
2. Eligibility and authority
You must have legal capacity to accept these terms. If you act for a company or other organization, you represent that you have sufficient authority to bind it and that the information you provide is truthful and current.
AgentLayer is primarily directed to enterprise customers. If a relationship qualifies as a consumer relationship under Chilean Law 19.496 or other applicable rules, nothing in these terms limits non-waivable consumer rights.
3. Accounts, access and administrators
When a service requires credentials, the customer must keep accounts, tokens, keys, permissions, integrations and authorized devices confidential. Activity from an authorized account will be treated as customer activity unless proven otherwise.
The customer must appoint administrators, manage user onboarding and offboarding, review permissions, report unauthorized access and cooperate in security investigations.
4. Customer obligations
The customer is responsible for its use of AgentLayer, the instructions it provides, the data it uploads or connects, the systems integrated and the decisions it makes based on agent-generated outputs.
- Have the rights, consents, authorizations, lawful bases and notices required to process data and connect systems.
- Configure sources, permissions, rules, prompts, thresholds, approvals and human controls suitable for the use case.
- Not upload sensitive data, minors' data or specially restricted data unless expressly authorized by contract and agreed safeguards.
- Comply with applicable employment, consumer protection, privacy, intellectual property, competition, sector and cybersecurity laws.
- Review AI outputs before using them in relevant decisions or external communications where context requires it.
- Maintain its own backups of critical information that is not part of a contracted backup service.
5. Acceptable use
You may not use AgentLayer for unlawful, abusive, unsafe activities or activities that affect third-party rights or platform integrity.
- Attempt to access systems, accounts, data, models, infrastructure or code without authorization.
- Interfere with platform availability, security, limits, monitoring, billing or controls.
- Send malware, spam, phishing, misleading, discriminatory, defamatory, illegal or rights-infringing content.
- Extract, copy, resell, sublicense, massively scrape, publish unauthorized benchmarks or reverse engineer the platform.
- Use agents for surveillance, profiling, scoring or high-impact decisions without lawful basis, notice to the data subject and suitable human controls.
- Use outputs for regulated professional advice or legal, medical, financial, employment or similar decisions without review by competent professionals.
6. AI outputs
AI agents generate probabilistic outputs. They may contain errors, omissions, bias, incomplete information or incorrect interpretations, especially if sources, instructions or integrations are insufficient.
AgentLayer does not replace professional judgment, human supervision or the customer's internal controls. The customer must validate outputs before making decisions with legal, financial, employment, reputational, commercial or equivalent impact.
We may incorporate guardrails, logs, evaluations, rules, approvals and metrics, but the customer remains responsible for the business context, instructions and final use of outputs.
7. Data, privacy and security
Personal data processing is governed by AgentLayer's Privacy Policy and, for customers, by the applicable contract, DPA or order form. The customer is responsible for having a lawful basis for the data it provides or connects.
AgentLayer will apply reasonable security measures according to the contracted service, the risk and the nature of the data. The customer must use the platform securely, restrict permissions and report incidents or suspected unauthorized access.
When AgentLayer acts as processor, it will process data under documented customer instructions, unless applicable legal obligations require otherwise.
8. Intellectual property
AgentLayer and its licensors retain all rights in the platform, software, flows, interfaces, models, base configurations, documentation, trademarks, designs, methodologies, know-how and general improvements.
The customer retains rights in its data, documents, knowledge bases, own content, trademarks and materials provided to AgentLayer. Unless agreed otherwise, the customer may use generated outputs for its legitimate internal and commercial purposes.
If you provide feedback, suggestions or ideas, you authorize AgentLayer to use them without restriction or compensation to improve products and services, provided we do not disclose customer confidential information.
We may use aggregated, anonymized or statistical information for analytics, security, internal benchmarks and service improvement, provided it does not identify the customer or natural persons.
9. Third-party services
AgentLayer may integrate with third-party services such as CRMs, ERPs, messaging tools, email, storage, APIs, cloud providers, language models, OCR, analytics, payments and support tools.
Use of those third parties may be subject to their own terms, limits, availability, costs and policies. The customer is responsible for its third-party accounts, granted permissions and compliance with external terms.
10. Pricing, payments and taxes
Prices, currency, taxes, milestones, payment method, due dates, renewals, adjustments, credits and suspension conditions are set in the applicable proposal, order form or contract.
Unless stated otherwise, amounts exclude taxes, withholdings, third-party costs, extraordinary usage, special integrations or additional professional services.
Overdue payments may result in suspension, interest, collection costs or service limitations, according to the contract and applicable law.
11. Confidentiality
Each party must protect the other party's confidential information with at least the same care it uses to protect its own similar information, and must not use or disclose it except to perform the contract, provide the service, exercise rights or comply with legal obligations.
Confidential information does not include information that is public without breach, legitimately received from a third party, independently developed or disclosed due to a legal obligation with prior notice where permitted.
12. Availability, support and beta versions
We work to keep services reliable, but interruptions may occur due to maintenance, incidents, providers, integrations, force majeure, regulatory changes or causes beyond our control.
Beta, experimental or trial features are provided for evaluation and may change, fail, be limited or be removed. They should not be used in critical processes without express approval and additional controls.
13. Warranties and exclusions
AgentLayer will provide the services with reasonable professional diligence and according to the contracted scope. Except for express warranties in a contract, services are provided according to the agreed availability and configuration.
We do not guarantee that agents will be uninterrupted, error-free, suitable for every use case, or that every output will be accurate, complete or sufficient without human review and customer validation.
Nothing in these terms excludes warranties, liabilities or rights that cannot be excluded under applicable Chilean law.
14. Limitation of liability
To the maximum extent permitted by law and unless a contract says otherwise, AgentLayer will not be liable for indirect damages, lost profits, data loss caused by the customer or third parties, business interruptions, reputational harm, decisions made without adequate review or failures of external services.
AgentLayer's total cumulative liability for claims related to paid services will be limited to the amount actually paid by the customer for the service that gave rise to the claim during the three months before the event, except for willful misconduct, gross negligence, non-limitable violations or different amounts agreed in writing.
15. Suspension and termination
We may suspend or limit access if there is unauthorized use, security risk, breach of these terms, payment default, legal requirement or risk to third parties or the platform.
Either party may terminate services according to the applicable proposal or contract. Upon termination, the customer must stop using the platform and we may delete or return data according to the contract, law and reasonable operational timelines.
16. E-commerce and consumers
AgentLayer is oriented to enterprise relationships. If we offer online contracting that qualifies as a consumer relationship under Chilean Law 19.496, we will provide truthful information, relevant commercial conditions and written confirmation where applicable.
The right of withdrawal, statutory warranty, information duties and other consumer rights will apply only in the cases and conditions provided by law. Nothing in these terms seeks to waive non-waivable consumer rights.
17. Changes to these terms
We may update these terms to reflect legal, technical, commercial or service changes. We will publish the current version with its update date. For contracted services, material changes will apply according to the contract, law or corresponding notice.
18. Governing law and jurisdiction
These terms are governed by the laws of the Republic of Chile. Unless a contract says otherwise, the parties submit to the competent ordinary courts of Santiago, Chile.
If a consumer protection, privacy, employment, sector, public order or similar rule establishes another forum, procedure or non-waivable right, that rule will prevail where applicable.
